This Customer License Agreement ("Agreement") is entered into by and between The Plan AB, Inc., a Delaware corporation headquartered in New York, and you, the Customer, as defined below.
By accessing or using any of The Plan AB’s products or services, or by signing a Statement of Work (SOW), you agree to be legally bound by the terms of this Agreement. If you do not agree, you may not access or use our offerings.
1. Key Definitions
1. “Affiliates” are entities under common ownership or control with either party.
2. “Authorized User” refers to individuals authorized by the Customer to access and use the services.
3. “Customer” means the person or organization entering into this Agreement with The Plan AB.
4. “Customer Data” includes any data, content, or information provided by the Customer to The Plan AB.
5. “Facility” refers to the physical or digital locations where services are utilized.
6. “Fees” are the financial charges agreed upon in the Statement of Work.
7. “License Agreement” means this document, including all incorporated annexes and referenced terms.
8. “Partner” refers to a third party officially authorized by The Plan AB to distribute or support its services.
9. “Partner Contract” is a binding agreement between The Plan AB and its approved partners.
10. “Services” refers to the software solutions, tools, or support described in your specific contract or SOW.
11. “Service Data” includes any usage metrics, operational data, or anonymized information generated from your use of the services.
12. “Service Software” means the proprietary platform and tools developed and maintained by The Plan AB to deliver its services.
13. “Subscription” is the limited right to access and use the services for a defined period under this Agreement.
14. “Subscription Start Date” marks the date on which your access to the service begins.
15. “Subscription Term” is the length of time your subscription is valid, as outlined in the SOW.
16. “Statement of Work” or “SOW” is a written document defining the agreed-upon services, deliverables, timelines, and payment terms.
2. Scope of Services
This Agreement outlines the responsibilities and expectations of both The Plan AB and the Customer in relation to the delivery and use of the services described in the applicable SOW.
3. Term of the Agreement
This Agreement is effective from the Subscription Start Date and will continue for the duration of your active services, unless terminated earlier in accordance with its terms.
4. Licensing and Intellectual Property
4.1 License Grant – The Plan AB grants the Customer a limited, non-exclusive, non-transferable right to access and use its services, subject to this Agreement.
4.2 Ownership – All intellectual property rights in the services, software, and data remain the exclusive property of The Plan AB. You are granted no rights beyond those expressly stated in this Agreement. Any feedback or suggestions you voluntarily provide may be used by The Plan AB without obligation or attribution.
